Letter to Shareholders 3 June 2014

Dear Abano Shareholder

The Abano Directors are concerned you may have received another proxy form for the Special Meeting on 13 June 2014, sent to you by Healthcare Industry and Steamboat Capital (Peter Hutson and James Reeves) dated 30 May 2014.

It is important for you to realise that this is NOT the official Abano meeting proxy form.

The official Abano proxy form was sent to you with the Notice of Meeting on 23 May 2014. It can be identified by the Abano company logo on the top left of the proxy form, which is identical to the one on this letter.

To avoid confusion, we would like to clarify that you only need to complete the official Abano proxy form. If you have already returned your official Abano proxy form, you do not need to do anything further.

The other form and letter, signed by Peter Hutson and James Reeves, continues to include many misleading and incorrect statements.

We find it extraordinary that Hutson and Reeves assert as “facts”, things that Abano and other third parties have already totally disproved and/or refuted. We absolutely reject their misleading statements and firmly believe that they are acting to serve their own interests rather than for the benefit of the Company and all shareholders.

This impression was reinforced by comments made by Peter Hutson. Whilst still a Director of Abano, when asked about the Archer takeover offer and the reference to his getting the audiology business for a “nominal sum”, Peter Hutson explained the deal by saying “there was something in it for him and something in it for shareholders”.

The Directors strongly advise you ignore the proxy form sent by Hutson and Reeves and only complete and return the official Abano proxy form appointing either an Abano Board member or the Shareholders Association as your proxy.

The Directors of Abano (other than Trevor Janes, who abstains) continue to unanimously recommend you VOTE AGAINST THE RESOLUTION.
